These Terms govern your use of our accounting, tax preparation, financial advisory, and any other related services provided by the Firm (collectively, "Services").
Please read these Terms carefully before using our services. If you do not agree with these Terms, you should not use the services provided by the Firm.
Services Provided
The Firm provides a variety of accounting, bookkeeping, tax preparation, payroll, and financial advisory services. Our goal is to provide you with accurate, reliable, and professional services to the best of our ability. We will perform the services outlined in any engagement letter or service agreement that you sign with the Firm, which outlines the scope of work.
While we strive to achieve the best possible outcomes for our clients, the nature of financial and tax matters is inherently complex and subject to ever-changing rules and regulations.
Client Responsibilities
- You, as the Client, are responsible for providing us with complete, accurate, and timely information necessary to perform the services you have engaged us for. Failure to provide such information may lead to delays or inaccuracies.
- The Firm will not be held responsible for errors or penalties that result from inaccurate, incomplete, or untimely information provided by you. It is your responsibility to review any financial reports, tax filings, or other documents prepared by the Firm for errors or omissions.
- You are also responsible for maintaining the necessary documentation to support your financial records and tax returns in the event of an audit or inquiry from tax authorities.
The Client acknowledges that:
- The Firm relies entirely on the information provided by the Client for tax preparation and financial services.
- Any inaccuracies, omissions, or untimely submissions of information are solely the responsibility of the Client and may result in penalties, interest, or audits by tax authorities. The Firm is not liable for any such consequences.
- The Client accepts full responsibility for reviewing and approving all documents prepared by the Firm before submission, including tax returns and financial statements.
Scope of Work
The scope of the services provided will be outlined in an engagement letter, contract, or similar document, and is limited to the tasks specifically outlined therein. Any additional services requested that fall outside the original scope of work will be subject to separate fees and agreements.
- The Firm's engagement does not include representation, advice, or assistance in responding to audits, examinations, or other inquiries from tax authorities unless explicitly agreed upon in writing and subject to additional fees.
- The Client is solely responsible for addressing any audits, notices, or correspondence from tax authorities related to their tax filings. The Firm will provide copies of relevant documents upon request, provided the original preparation of these documents falls within the scope of the services performed.
- Any additional services related to audits or tax authority inquiries will require a separate engagement agreement and are subject to additional fees.
Accuracy and Liability Disclaimer
While the Firm strives for excellence and takes all reasonable measures to ensure the accuracy of our work, errors may occasionally occur due to the complexity of financial matters and tax law. By engaging our services, you acknowledge the following:
- Non-Guarantee of Results: The Firm does not guarantee any specific financial outcome, tax refund, or tax savings. Tax laws and regulations are subject to change and can impact the results of our services.
- No Liability for Penalties and Taxes: The Firm will not be held liable for any penalties, interest, taxes owed, or other financial consequences that arise as a result of any errors or omissions in the work performed. This includes, but is not limited to, errors in tax returns, financial statements, payroll filings, or any other documents prepared by the Firm. You agree that the Firm is not liable for any damages, including penalties, fines, interest, or additional taxes resulting from any error or mistake.
- Mitigation of Errors: If any errors are identified after work has been completed, the Firm will use reasonable efforts to correct them promptly and at no additional cost to you, provided that the error is brought to our attention within a reasonable time frame. The Firm's liability will be limited to the correction of the error and does not extend to any additional taxes, penalties, or damages.
Third-Party Software and Services
In performing our services, we may rely on third-party software, platforms, or service providers (e.g., tax preparation software, payroll processing platforms). While we take care in selecting reputable providers, we do not guarantee the accuracy, reliability, or functionality of third-party systems, nor are we liable for any damages arising from their use.
Confidentiality
The Firm takes confidentiality seriously and will take all necessary precautions to protect your personal, financial, and business information. We will not disclose any of your confidential information to third parties unless required by law or you have given us explicit consent.
You are responsible for maintaining the confidentiality of your own records, passwords, and any login credentials provided to you for third-party platforms.
Fees and Payment Terms
Fees for our services will be outlined in our engagement letter or similar agreement. Invoices for services will be issued periodically or upon completion of work, as agreed upon. All fees are payable upon receipt of the invoice unless otherwise specified.
The Firm reserves the right to suspend or terminate services in the event of non-payment or if the Client fails to meet its responsibilities outlined in this agreement.
Termination of Services
Either party may terminate the engagement at any time with written notice. Upon termination, you are responsible for any unpaid fees for services rendered up to the point of termination.
The Firm reserves the right to terminate the engagement for any reason, including but not limited to non-payment, failure to provide necessary information, or failure to cooperate.
Upon termination, the Firm will return any documents or property belonging to you, and any remaining work will cease unless otherwise agreed.
Limitation of Liability
To the fullest extent permitted by law, the Firm's liability in connection with the performance of its services shall be limited to the fees paid for the services provided under the engagement. In no event will the Firm be liable for indirect, consequential, incidental, or punitive damages, even if advised of the possibility of such damages.
The Firm is not responsible for any third-party claims or liabilities arising from the use of financial statements, reports, or tax returns prepared by the Firm.
Indemnification
You agree to indemnify and hold the Firm, its officers, employees, agents, and affiliates harmless from and against any and all claims, liabilities, losses, damages, penalties, costs, and expenses (including reasonable attorneys' fees) arising from or relating to your use of our services, or your failure to provide accurate, timely, or complete information.
Force Majeure
The Firm shall not be liable for any delay or failure to perform any obligations under these Terms if the delay or failure is due to unforeseen events that are beyond our reasonable control, including, but not limited to, strikes, lockouts, accidents, acts of God, war, terrorism, fire, breakdown of plant or machinery, or unavailability of materials.
Amendments
The Firm reserves the right to amend these Terms and Conditions at any time. Any amendments will be communicated to you and will become effective immediately upon notice. Continued use of our services after the amendment constitutes acceptance of the updated Terms.
Severability
If any provision of these Terms is found to be unenforceable or invalid, such unenforceability or invalidity will not render the remaining provisions unenforceable or invalid. The remaining provisions will be enforced to the fullest extent permitted by law.
Entire Agreement
These Terms, along with the engagement letter or service agreement, constitute the entire agreement between you and the Firm. They supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the services provided by the Firm.
